The recent debate between Veolia and Suez arbitrated by the AMF, which recalled, in a communication dated 2 April 2021, that defensive measures must fall within the rules and principles governing takeover bids, raised the question of how to combine the defensive capacity of managers with the guiding principles of takeover law.
